Procedure
in ordering your Shelf CC
1. Download the forms :
A: Member Form, and B Desired Name, complete and mail to : gai@billionaire.org.za .
Forms A and B may also be faxed to 086 566 3999
2. The Power of Attorney will be e-mailed to you after we receive the Form A and B.
3. Complete and sign the Power of Attorney and post to: GAI P O Box 20 Buccleuch 2066
4. Make the Electronic transfer or direct bank deposit
5. E-mail confirmation of deposit/electronic transfer to gai@billionaire.org.za
6. GAI will verify your deposit (Within 24 hours of receipt of e-mail confirmation)
7. Confirmation of approved name will be sent within 5-8 days (subject to delays, if any from the Registrar of Close
Corporations)
8. GAI desires to conclude registrations, name changes, member changes within the shortest possible time. Thus far, historical timeframes are that all these processes take between 14 to 21 working days, subject to delays from the Registrar of Close Corporations. We are looking into ways of reducing delays.

What is a shelf company?
A
shelf company is an entity that was registered and put
on the shelf. This means it doesn't have assets and
liabilities and has been registered with the sole
purpose of being sold. You can have a shelf cc, shelf
(Pty) Ltd, shelf section 21 or any other entity but the
shelf cc and the shelf (Pty) Ltd are the most popular.
All shelf entities we supply come with a guarantee that
they have never traded and therefore have no asset and
liabilities.

Why buy a
shelf company?
The main
reason for buying a shelf is when a person needs to do a
business urgently and need a registration number
immediately. For example, a shelf can be bought to apply
for a tender or for an urgent business deal.
Shelf CC with Pre-Approved Name
A shelf cc with a pre-approved name means that the shelf cc name has been reserved by the registrar of companies. We can then add new members on this type of shelf company. It is much quicker (2-4 days) because there is no waiting for the approval of the client’s name. You may change the cc name at a later stage as well as the principal business and accounting officer if you want. Please allow 5 – 7 weeks to make all the changes to a shelf cc
Shelf (Pty) Ltd:
Similarly, a shelf pty will have a name, addresses, a
director and an auditor. In addition, a shelf pty will
have a memorandum and articles of association. If you
buy a shelf, then you will have to change the director
and addresses. The name and any other changes are not
compulsory but can be done.

What is a
close corporation?
A close
corporate is a limited liability entity which is much
easier to incorporate and will give any business a good
professional image. It is very acceptable for any small
business intending to do business with both the private
and public sector.
A cc is a lot simpler to incorporate and its financials
do not have to be audited by a firm of chartered
accountants.
A new close corporation takes on average one month to
register (this includes name reservation and lodgment of
the founding statement).
